1 Agreement

These Terms govern all services provided by UORIVO (Pty) Ltd, a South African software development company, and use of our website at uorivo.com.

By engaging our services or using our website, you agree to these Terms. If you disagree, discontinue use immediately.

5 Client Duties

6 Intellectual Property

6.1 Client Ownership

Upon full payment, clients receive complete ownership of:

Custom source code developed specifically for the project
Original designs and graphics created for the project
Project-specific documentation and specifications

6.2 UORIVO Retention

We retain rights to: frameworks, libraries, methodologies, general knowledge, reusable components, and development tools. We may showcase completed work in our portfolio unless confidentiality is specifically requested.

6.3 Third-Party Components

Open-source libraries and third-party services remain under their respective licenses.

7 Warranties & Limits

⚠ Liability Limitations

Maximum Liability: Total project fees paid

Excluded: Indirect, consequential, or punitive damages

Client indemnifies UORIVO against claims arising from client-provided content, data, or instructions.

We may update these Terms. Major changes require 30-day notice via email. Continued use constitutes acceptance.

Project Changes

Project modifications require written agreement and may affect timeline and cost.

15 General

Severability

Invalid provisions don't affect remaining Terms

Entire Agreement

These Terms constitute the complete agreement

Assignment

Rights may not be transferred without consent

Waiver

Failure to enforce doesn't waive rights
